I am unclear on what you mean. Do you want to know how to convert your existing website layout into a WordPress theme or by “setup a wordpress theme”, do you want to know how to install it?
Here’s How To Install A WordPress Theme.
If you want to know how to convert an HTML template into a WordPress theme, I know of no conversion software. However, when I find a theme or template I like, I just make my own theme using Artisteer. I can select the layout, colors, fonts and more and come pretty darn close. I’ve been using it for over a year and it’s awesome because I don’t have to write a single line of code. Artisteer does it all. Version 3 is going to be released to the public soon. I’ve been using the beta version for sometime now and it’s really flexible. You can download the current version here and play around with it. You’ll get a free upgrade to 3.0 when it’s released.
